Terms
Terms of use
Status: draft, not reviewed by a lawyer.
1. Agreement and acceptance
These terms are an agreement between you and AI Eh By Solutions (Newfoundland and Labrador, Canada) for KeepNote: this website, the web app, the Android, iPhone, Apple Watch and desktop apps, the sync service, the Claude connector and the AI server we run. By creating an account, signing in, or recording with the apps, you accept these terms and our Privacy Policy. If you do not agree, do not use KeepNote.
2. Who can use it
You must be at least 14 years old. KeepNote is private and invite-only: we decide who is invited and can end an invitation.
3. The service
KeepNote records conversations with the Fieldy pendant or your device's microphone, makes transcripts, summaries and tasks with the AI provider you choose, and, if you sign in, keeps your devices in step. It is a prototype offered for testing: features change, and some are marked Preview or Experimental.
It is not an emergency service, not a medical, legal or professional record, and not a certified transcription service. The Fieldy pendant and its firmware are made by another company; we are not responsible for them.
4. Accounts
Keep your sign-in private and tell us at support@ai-eh-by.ca if you think someone else used it. You are responsible for what happens under your account. You can see and disconnect your devices in Settings → Sync → Devices.
5. Your content and our licence to operate it
Your recordings, transcripts, notes and other content stay yours. You give us a limited licence to store, copy, process and transmit them only to run KeepNote for you: to sync them, to send them to the AI provider you choose, to show share links you create, and to make backups. This licence ends when you delete the content or your account, except for backups until they expire (see the Privacy Policy).
6. Acceptable use
Do not use KeepNote to break the law or anyone's rights, to record people in a way the law does not allow, to harass, stalk or spy on anyone, to share content you have no right to share, to attack or overload the service, or to get around its security or limits.
7. Features with their own rules
Recording and consent
Recording laws differ by place, and many require the consent of the people recorded. You are responsible for getting it, for telling people you are recording, and for the share links you create. Each app asks you to confirm this before your first recording.
AI features
Transcripts, summaries, tasks, name fixes, speaker suggestions and Ask answers are made by AI and can be wrong or incomplete. Check anything important before you rely on it. When you use a provider such as OpenAI, Deepgram, Baseten or Anthropic with your own account, that provider's terms also apply to you.
Voices
Voice matching only suggests names; it is not an identity check. Create voice samples only of people who agree.
Google Calendar, Google Tasks and the Claude connector
These connect to your own accounts with those companies, whose terms also apply. You can disconnect them at any time.
8. Availability and changes
We run KeepNote as a prototype and do not promise it will always be available, without errors, or kept in its current form. We may change or end features or the service. If we end the sync service, we will tell you in the apps at least 30 days before, so you can export your data.
9. Disclaimers
To the extent the law allows, KeepNote is provided as is and as available, without warranties of any kind, including fitness for a particular purpose. Keep your own backups (Settings → Backup). Nothing in these terms limits warranties or rights that cannot be limited under the law that applies to you, including Quebec's Consumer Protection Act.
10. Limitation of liability
To the extent the law allows, we are not liable for indirect, incidental, special or consequential damages, or for lost data, profits or recordings, and our total liability for any claim about KeepNote is limited to the amount you paid us for it in the 12 months before the claim (it is free today, so CAD 100). These limits do not apply where the law does not allow them, including for intentional or gross fault, or for bodily or moral injury caused to others in Quebec.
11. Ending your use and deleting your account
You can stop using KeepNote and delete your account at any time in Settings → Sync → Delete account, or on the deletion page. We may suspend or end your access if you break these terms or to protect other users or the service; where possible we tell you first and give you time to export your data.
12. Changes to these terms
When we change these terms, we update the version and date at the top. For a change that affects your rights, the apps ask you to accept the new version before you keep using sync; if you do not accept it, you can stop using sync and delete your account.
13. Governing law and disputes
These terms are governed by the laws of Newfoundland and Labrador and the federal laws of Canada that apply there. The courts of Newfoundland and Labrador decide disputes, unless the law gives you the right to go to the courts where you live. If you live in Quebec, the Civil Code of Quebec and the Consumer Protection Act apply to you where they protect you more, nothing in these terms takes away your rights under them, and you may bring a claim before the courts of Quebec.
14. Language
These terms and the Privacy Policy are available in English, French and Spanish, with the same version and date. If you live in Quebec, the French version is available to you before you accept. It is the express wish of the parties that these terms be drawn up in English and French; Spanish is a courtesy translation.
